BOARD COMPOSITION:

Samuel Kidston, Chairman of the Board. | Sam is a Chartered Financial Analyst and has been an independent member of SED’s Board since December 2008; in December 2009, he was elected Chairman of the Board. Sam is the founder and Chief Investment Officer of North & Webster, LLC, a Boston-based value investment management firm, where he manages client portfolios and is the primary investment decision maker for the firm. He is also the Chairman of the Board of Sport-Haley, Inc. (Pink Sheets: SPOR), a golf apparel company. Previously, he was an equity analyst for the small- and mid-cap value equity team at BlackRock, Inc., where he focused primarily on research and investing strategies in Financial Services and Energy companies. He is a graduate of Wesleyan University where he received a Bachelor of Arts degree in Philosophy. A member of the Boston Security Analyst Society, Sam received his Charter as a Financial Analyst from the CFA Institute.

Jonathan Elster, President, Chief Executive Officer and Director. | For nearly 15 years, Jonathan has served SED in a number of key roles, beginning in early 1995 as a Sales Representative and ascending through the ranks to ultimately become Chief Executive Officer in December 2009. In the interim period, he served as Sales Manager (1997 to 1999); Vice President of Sales (1999-2000); Senior Vice President of Sales and Marketing (2000 through June 2004); Executive Vice President (2004 through June 2009) and President and Chief Operating Officer from June 2009 until he was appointed by the Board as the Company’s new CEO. In February 2010, the Board appointed Jonathan as a new director, thereby expanding the Board from eight to nine members.

Stewart Aaron, Director. | Stewart has been a Director of SED since November 1994. He currently serves as the President of LABS, Inc., a silk plant manufacturer based in Atlanta, Georgia, where he has worked for over 20 years. Stewart also serves as President of Stewart Aaron and Associates, Inc., a real estate development company.

Melvyn Cohen, Director. | Melvyn has been a Director of SED since November 1999. He is the owner of M Cohen & Co., LLC, a certified public accounting firm in the State of New Jersey, since December 1994. Melvyn has been a member of the American Institute of Certified Public Accountants and a member of the New Jersey Society of Certified Public Accountants since 1968. He has been a Certified Public Accountant for over 40 years.

Jeanie Diamond, Director. | A co-founder of SED, Jeanie led the Company as its Chairman and Chief Executive Officer from June 2005 until her retirement in December 2009. A member of the Board of Directors since January 2003, she continues to serve as a Director.

Arthur Goldberg, Director. | Arthur has been a Director of SED since May 2008. He is currently the Vice President and Chief Financial Officer of Clear Skies Solar, Inc. Previously, Arthur served as Chief Financial Officer of Milestone Scientific Inc. from August 2007 to January 2008. From July 2006 to June 2007, he served as Chief Administrative Officer and CFO of St. Luke’s School, a non-sectarian college prep school. From December 2005 to July 2006, he was a private financial and business consultant. From February 1999 to November 2005, he was a partner in the firm of Tatum CFO Partners, LLP, serving as an interim CFO for both public and private companies. Prior to 1999, Arthur held several senior executive positions, including CFO and Chief Operating Officer of a number of public companies. He received his B.B.A. from the City College of New York, his M.B.A. from the University of Chicago and his J.D. and L.L.M. from New York University School of Law. Arthur is also a Certified Public Accountant.

Stephen Greenspan, Director. | Stephen has been a Director of SED since May 2008. In 2002, he retired from K&G Men’s Center, Inc., a formerly publicly traded men’s apparel retailer, where he was Founder, Chairman, President and Chief Executive Officer. Mr. Greenspan presently sits on the Board of Floor and Décor Outlets of America, Inc. and works with a number of charities both personally as well as through his family foundation and charitable trust.

J.K. Hage III, Director. | J.K. was elected to SED’s Board in December 2008. For nearly 30 years, he has been a practicing attorney and corporate advisor to public and private utility, communications and technology clients, and others, in the areas of business organizations, new ventures, strategic planning, capital formation, information security, mergers, acquisitions, contractual negotiations, succession and estate planning. He currently is of counsel to Lukas, Nace, Gutierrez and Sachs, a Washington, D.C. communications law and engineering firm. J.K. has initiated numerous business ventures including Independent Wireless One Corporation, a national Sprint PCS affiliate and the organizer and the first Executive Director of the Griffiss Institute, a market-driven national collaboration of industry, academia and government agencies dedicated to research, training and services in information security. J.K. also serves as a director of the national Economic Crime Institute, the Mohawk Valley Economic Development Growth Enterprises Corporation, the Mohawk Valley Chamber of Commerce, the Albany Law School Board of Trustees and the Albany Law School Science and Technology Law Center. He is a member of the Herkimer County Community College Criminal Justice Advisory Committee.

A frequent lecturer and sought after industry speaker, J.K. was admitted to the New York Bar in 1979 and to the Alaska Bar in 1975. He is currently a member of the New York State Bar Association and the Oneida and Herkimer County Bar Associations. Other postings have included his appointment to the New York State Commission of Corrections by Governor Hugh L. Carey in 1982. He is active in numerous industry associations including the International Mobile Telecommunications Association, the Organization for the Preservation and Advancement of Small Telephone Companies, the American Mobile Telecommunications Association, the New York State Telecommunications Association and the New York State Municipal Electrical Utilities Association. He also is a member of the New York State Bar Association Committee on Public Utility Law and the New York State Bar Association Committee on Trusts and Estates. A graduate of Albany Law School, J.K. attended Hamilton College and Oxford University. He studied for a Master’s degree in Languages at New York University and the University of Madrid.

Joseph Segal, Director. | Joseph was appointed to the Board in September 2005. Since 1998, he has served as managing partner in Cornerstone Capital Partners, LLC, a real estate investment firm operating in Georgia and Florida. Previously, Joseph served as Chairman and Chief Operating Officer of Phoenix Communications, a commercial printing and publishing firm.

Barry Diamond, Vice President of Product Management. | With more than 30 years experience in the wireless and electronics industry, Barry has been with the Company since 1987 and currently serves as Vice President of Product Management, where he is responsible for the management of SED’s wireless business. Prior to joining SED, he served as Vice President of Purchasing for BrandsMart USA from 1970 to 1980, and President of Greater Sounds of New York, a consumer electronics business, from 1980 to 1987.

Lyle Dickler, Chief Financial Officer and Vice President of Finance. | Lyle joined SED in June 2005 as Corporate Controller and assumed the positions of Secretary and Treasurer in August 2005. He advanced to Vice President of Finance in July 2006 and was appointed to serve as the Company’s Chief Financial Officer in May 2008. Previously, Lyle served as Controller for Okabashi Brands, Inc. May 2003 to June 2005, and from 2001 to 2003 as Controller for PAI Industries, Inc. Lyle graduated from Emory University in 1991, earning a Bachelors of Business Administration, and also earned his Masters of Business Administration from Georgia State University in 1994.
